Terms of Service & End User License Agreement

These Terms of Service and End User License Agreement (the “Terms”) govern your access to and use of the Tigerhawk Logistics transportation management system, including its web application, customer portal, APIs, and related services (collectively, the “Service”), operated by Tigerhawk Logistics, LLC (“Tigerhawk,” “we,” “us,” or “our”). By accessing or using the Service, you (“you” or the “User”) agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
The Service is a transportation management system used to manage container drayage and related logistics operations, including load dispatch, driver and equipment management, billing, accounts receivable and payable, document handling, reporting, and integrations with third-party platforms. The Service is provided for use by Tigerhawk, its authorized personnel, and its authorized customers and partners.
2. Accounts and Access
Access to the Service requires an account. You are responsible for maintaining the confidentiality of your login credentials, for enabling and maintaining multi-factor authentication where required, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. Access is granted on a role-based basis, and you agree to access only the data and functionality for which you are authorized.
3. License
Subject to these Terms, Tigerhawk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in connection with Tigerhawk’s logistics operations. This license does not transfer any ownership rights in the Service.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or unauthorized purpose;
- Access, tamper with, or use non-public areas of the Service or its systems without authorization;
- Attempt to probe, scan, or test the vulnerability of the Service, or breach security or authentication measures;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law;
- Upload or transmit malicious code, or use the Service to store or transmit infringing or unlawful material;
- Resell, sublicense, or otherwise make the Service available to third parties except as expressly authorized.
5. Customer and Operational Data
As between you and Tigerhawk, data you submit to the Service remains owned by its respective owner. You grant Tigerhawk the right to host, process, transmit, and display such data as necessary to provide and improve the Service. You represent that you have the necessary rights to submit any data you provide and that such data does not violate any law or third-party right.
6. Third-Party Services and Integrations
The Service integrates with third-party platforms, which may include Intuit QuickBooks Online (accounting), Port Houston (container tracking), Twilio (telephony for the voice agent), Samsara (vehicle telematics), and email delivery providers. Your use of those integrations may be subject to the applicable third party’s own terms and privacy practices. Tigerhawk is not responsible for third-party services and disclaims liability arising from them. When you connect a third-party account (for example, QuickBooks Online), you authorize the Service to access and exchange data with that platform on your behalf, and you may revoke that authorization at any time by disconnecting the integration.
7. Intellectual Property
The Service, including its software, design, and content (excluding User-submitted data), is owned by Tigerhawk and is protected by intellectual property laws. All rights not expressly granted are reserved.
8. Service Availability
We strive to keep the Service available and reliable but do not warrant uninterrupted or error-free operation. We may modify, suspend, or discontinue features of the Service, and may perform maintenance that temporarily limits availability.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TIGERHAWK DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT DATA WILL BE ACCURATE OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIGERHAWK AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TIGERHAWK’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU, IF ANY, FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Tigerhawk from any claims, damages, liabilities, and expenses arising from your misuse of the Service or your violation of these Terms or applicable law.
12. Termination
We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. Upon termination, your license to use the Service ends. Provisions that by their nature should survive termination will survive.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising under these Terms will be the state or federal courts located in Harris County, Texas.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
